Terms of Service
1. ACCEPTANCE AND SCOPE
These Terms of Service (“Terms”) govern access to websites, sales consultations, payment pages, customer portals, CRM subscriptions, website development, workflow automation, AI agents, implementation, consulting, maintenance, and related services offered by Supreme CRMs LLC, a Texas limited liability company (“Supreme CRMs,” “we,” “us,” or “our”). By submitting an order, accepting a service agreement, or accessing the Services, you agree to these Terms. If acting for a business, you represent that you have authority to bind that business. You must be at least 18 years old or otherwise have legal authority to contract. These Terms apply broadly; particular deliverables, timelines, fees, service levels and deviations are defined in an approved written proposal, service order, statement of work, or signed agreement (“Service Order”). If terms conflict, a mutually executed Service Order controls its expressly addressed subject, then an applicable data processing or vendor addendum, then these Terms, except where law requires otherwise. Product descriptions, advertisements and presentations are illustrative, not commitments to unlisted features.
2. WHAT WE PROVIDE
Services may include: (a) Basic Access to a self-service CRM environment; (b) Launch, Grow and, once available, Scale with AI packages; (c) website and landing page design, hosting coordination and optional maintenance; (d) CRM integrations and standalone n8n workflow builds; (e) independently scoped or productized AI agents; (f) consulting, onboarding, training, support and approved enhancements; and (g) third-party software configuration. Our approved Service Order describes the included scope, deliverables, users, integrations, source data, onboarding and acceptance criteria. A fixed-priced package is not unlimited custom software development. Any feature, extra agent, workflow, page, integration, migration, or revision outside scope requires a new approved quote or change order.
3. ORDERING, ELIGIBILITY AND ACCEPTANCE
A checkout payment is an order request for the identified offering, not a promise of immediate activation or an unrestricted development obligation. For offers requiring discovery or approval, we may verify prerequisites, account ownership, scope, third-party access, legal use, or capacity before accepting or starting work; where we cannot proceed, we will address an appropriate refund or other resolution consistent with the agreement and applicable law. We may restrict promotional, bespoke and existing-client upgrade links to verified eligible customers. Productized services marked “Coming Soon” or “In Development” are not available for immediate fulfillment and should not have active public checkout links until launch readiness is confirmed.
4. IMPLEMENTATION, CLIENT INPUTS AND LAUNCH
Implementation ordinarily begins after approval of the Service Order, applicable implementation payment and necessary client intake. You will provide accurate business information, current contact and domain details, suitable content, authorized third-party credentials, necessary privacy disclosures and permissions, timely feedback, and a point of contact able to approve decisions. Dates and delivery estimates depend on client cooperation, vendor availability and approved scope. We may use reasonable project milestones and documented acceptance tests. “System Launch” means the agreed production configuration has been completed, tested against the approved scope and declared ready for live operation through a documented launch/acceptance record; unresolved material defects prevent launch until addressed. A client-caused delay may prompt an updated schedule or a separate written resolution of the launch process, but we will not start a launch-triggered subscription merely because an arbitrary trial period elapsed.
5. PRICING, IMPLEMENTATION FEES AND SUBSCRIPTIONS
Prices shown at checkout or in an accepted Service Order apply to the identified purchase; taxes and vendor charges are additional unless expressly included. One-time implementation charges are collected at purchase or as specified in the order. Basic Access at $79/month is a self-service CRM subscription and ordinarily begins when that subscription is purchased or provisioned as displayed at checkout. New Launch and Grow implementations collect the implementation fee first; their $79/month platform subscription begins only upon approved System Launch. Scale with AI, when released, collects the approved implementation payment first and begins its $199/month access charge only when the complete dual-agent system launches. The Online Launch Starter Bundle includes its initial $79 platform month after launch at no charge; $79/month begins in Month 2 following launch. Other recurring support or maintenance offerings begin according to their accepted order and applicable checkout disclosures. The purchaser authorizes future recurring charges at the amount, interval, and start event expressly disclosed and accepted; storing a payment method alone is not permission to charge an undisclosed subscription.
6. UPGRADES AND NO DUPLICATE ACCESS BILLING
Upgrade implementation fees, eligibility and delivery depend on the selected approved upgrade. Existing-client upgrades must be applied to the verified existing CRM account where technically appropriate, without knowingly replacing its historical records or creating a second overlapping platform subscription. A customer's existing monthly CRM access may continue during upgrade implementation; an approved higher-tier recurring price begins at the upgraded System Launch when applicable. Upgrades are not retroactive refunds of previously purchased implementation work. New functionality, custom migrations and incompatible third-party configurations may require separately approved work.
7. THIRD-PARTY PLATFORMS, USAGE AND VENDOR FEES
Services may use GoHighLevel, Stripe, n8n, Slack, email/SMS and voice providers, hosting and domain vendors, AI-model/API providers, Google Workspace, website builders, and other services. Third-party providers retain their own terms, privacy policies, fees, service availability, content restrictions and account limitations. Clients are responsible for their own vendor subscriptions, domains, messaging, AI tokens, traffic and other usage unless expressly included. Where Supreme CRMs rebills supported GHL usage, the currently approved policy is pass-through usage at 1.05 times the underlying charge, with a minimum $50 wallet recharge, subject to any specific order and displayed billing notices. One-time complimentary usage credits, if offered, apply only as described in the purchased package and do not constitute cash refunds. We do not control third-party outages, vendor feature changes, deliverability or provider pricing.
8. PAYMENT METHODS, TAXES AND NONPAYMENT
Payments may be processed by Stripe or another disclosed provider. Customers must provide accurate billing information and maintain a valid authorized payment method for agreed charges. Applicable sales/use taxes may be computed at checkout and remain the customer's responsibility; tax handling does not constitute tax advice. Unpaid invoices, insufficient usage balances or declined recurring payments may cause notice, service restrictions, suspension of sending/automation or other proportionate action consistent with applicable law and the Service Order. Any reactivation work or additional fees require a lawful contractual basis and clear disclosure. We will not intentionally double-charge the same recurring CRM access subscription for a single eligible account.
9. REFUNDS, CANCELLATIONS AND CHARGEBACKS
Unless a signed Service Order expressly states a different policy, customers may request a full refund of an initial purchase within five calendar days of the initial payment by contacting info@supremecrms.com. The request will be evaluated and processed consistent with the applicable agreement, actual service status, payment rules and law. After that period, implementation fees are generally not refundable merely due to a change of mind, except where the agreement or law requires otherwise; material nondelivery or breach will be addressed under the applicable remedies. Monthly subscriptions can be canceled through the offered customer portal or by contacting support, with cancellation timing and final billing determined by the accepted plan and disclosed terms; cancellation does not automatically refund previously provided service or incurred third-party usage. Disputed charges should be raised promptly with us, without limiting statutory chargeback rights.
10. SUPPORT, DEBUGGING AND CHANGES
For qualifying Launch, Grow, Scale with AI, and approved Enterprise implementations, our current package policy includes 90 days of troubleshooting for reproducible defects in the originally approved implementation scope, beginning at System Launch. It is not unlimited feature development, general marketing management, outsourced business operations or remediation of problems introduced by client edits or third-party outages. Other standalone services and maintenance arrangements follow the support period specified in their Service Order; if no longer period is agreed, the company's general 30-day implementation defect warranty may apply. We use commercially reasonable efforts to diagnose and correct covered defects; specific response times or service-level guarantees exist only where expressly agreed. Later modifications, additional pages, integrations, knowledge ingestion and workflow changes may be separately billable.
11. CUSTOMER DATA, PRIVACY AND CONFIDENTIALITY
Between the parties, the client retains its rights to lawfully supplied customer, business and contact data (“Client Data”). The client authorizes us and our approved service providers to access, store, transmit and process Client Data solely as reasonably necessary to provide, secure, support and improve the contracted Services, as permitted by the Service Order and law. We will maintain reasonable technical and organizational safeguards appropriate to the data. Confidential information shall be used for authorized business purposes and disclosed only to appropriate personnel, contracted service providers under protective obligations, with permission or as legally required. We may retain limited records for compliance, security, accounting, disputes and backups as permitted by law. Any separately signed data processing agreement governs its specifically covered processing. Client Data is not transferred to Supreme CRMs as a marketing contact list.
12. MARKETING, MESSAGING AND CUSTOMER CONSENT
Clients remain responsible for determining the lawful basis for using their contacts, securing and documenting required SMS, voice, email and marketing permissions, maintaining accurate sender identification, honoring do-not-contact and opt-out instructions, providing legally required privacy/terms links, and complying with messaging-provider policies. Supreme CRMs may provide tools and consent-field configurations but does not guarantee that a client's lists, messaging strategy or campaigns comply with law. Consent to receive Supreme CRMs' own promotional SMS or emails must be separately obtained where required and is not a condition of purchasing services. For Supreme CRMs-originated optional SMS programs, messaging may include service information, consultation follow-up, special offers and product updates as identified at signup; message frequency varies; message and data rates may apply; reply STOP to cancel or HELP for assistance, or contact info@supremecrms.com. Opting out of marketing does not necessarily prevent nonmarketing account or transaction messages where permitted. Mobile opt-in data will not be sold or shared for unaffiliated third-party marketing. The related Privacy Policy provides additional detail.
13. ARTIFICIAL INTELLIGENCE
AI agents, conversational assistants, lead follow-up, automated knowledge retrieval and recommendations can generate incomplete, incorrect, delayed or unexpected responses. AI output is for authorized business assistance, not a substitute for professional legal, medical, financial or other regulated advice or human decision-making. Clients shall review important outputs, approve connected system actions and establish human escalation for high-impact operations. The client must not input unauthorized sensitive or regulated data or train/deploy agents for unlawful, discriminatory, deceptive or harmful purposes. Separate AI providers may process prompts and records under their own terms and configuration. Supreme CRMs does not guarantee AI accuracy, results, revenue, lead volume or uninterrupted output. Publishing a knowledge base requires client approval of source quality and employee-versus-public access boundaries.
14. INTELLECTUAL PROPERTY, LICENSES AND DELIVERABLES
Each party retains ownership of its preexisting intellectual property, trademarks, documents and data. Unless a signed Service Order expressly transfers specified rights, Supreme CRMs retains ownership of its existing and reusable templates, CRM snapshots, workflow architectures, SOP frameworks, agent configurations, internal tools, methods and know-how. Following payment, the client receives a limited, nonexclusive right to use delivered and licensed configurations for its own legitimate business operations during applicable platform access and subject to third-party license restrictions. Website design assets, custom work product, source materials and any ownership transfer are governed by the applicable Service Order; no transfer of generic tool frameworks is implied by implementation fees. Clients warrant they have rights to the logos, materials, records and knowledge supplied.
15. PROHIBITED CONDUCT AND SECURITY
Do not access another customer's environment, bypass access controls, scrape or extract confidential data without authority, send spam or unlawful outreach, infringe intellectual property, misuse AI or automations for fraud, interfere with platform security, or upload malware or data you are not permitted to process. Customers must use unique credentials, protect privileged access, assign least-privilege user permissions, notify us promptly of suspected compromise and cooperate on incident remediation. We may suspend a harmful use where reasonably necessary to protect people, customers, third parties and systems.
16. AVAILABILITY, DISCLAIMERS AND RESULTS
Except for express written commitments, Services are delivered with commercially reasonable skill and care. Technical systems depend on networks, external vendors, client-controlled content and changing platform policies. To the maximum extent permitted by law, we disclaim implied guarantees of uninterrupted uptime, error-free software, specific lead volume, marketing performance, search rankings, sales, data recovery, AI accuracy or business outcome. Nothing here limits warranties, statutory remedies or duties that cannot lawfully be waived.
17. LIABILITY AND INDEMNIFICATION
To the maximum extent permitted by applicable law, neither party will be liable to the other for indirect, incidental, special, exemplary, punitive or consequential losses, including lost profits or business opportunity, arising from the Services, except where law forbids such exclusion. Our aggregate contractual liability for an individual claim is limited to the fees actually paid to Supreme CRMs for the affected Service during the 12 months before the event giving rise to the claim, except for obligations that cannot legally be limited and any express negotiated exceptions. The client is responsible for its unlawful content, unauthorized data, its own marketing and contacts, or misuse of delivered systems, and will indemnify Supreme CRMs against third-party claims to the extent caused by those matters and allowed by law. Any broader or mutual indemnities must be set forth in a signed Service Order. THIS SECTION REQUIRES LEGAL REVIEW PRIOR TO PUBLICATION.
18. TERM, TERMINATION AND DATA TRANSITION
Services continue for the period described in the order or until canceled or terminated as permitted. We may terminate or suspend for material breach, nonpayment, unlawful use or material security risk, subject to applicable notice/cure obligations. On termination, platform access and vendor-dependent workflows may stop. The client remains responsible for timely exporting records from accounts it controls and arranging ongoing vendor subscriptions. We will reasonably cooperate with a separately agreed transition within lawful and technical limits; custom extraction, migration or restoration may be separately scoped. Data deletion and retention are governed by the Privacy Policy, vendor obligations and applicable law.
19. NOTICES, MODIFICATIONS AND ELECTRONIC RECORDS
We may revise these Terms prospectively and will publish an updated date and provide additional notice where required for material changes. Changes do not retroactively alter an already executed fixed-price Service Order without proper agreement. Notices may be sent to the contact information supplied by the client. Electronic checkout acknowledgments, records of acceptance and signatures may be used to document consent and contract formation to the extent permitted by applicable law.
20. GOVERNING LAW AND DISPUTE RESOLUTION
The parties should first attempt in good faith to resolve disagreements through written notice to info@supremecrms.com and a reasonable discussion period. Subject to nonwaivable consumer or other statutory protections, the Terms are governed by Texas law, without applying conflicting choice-of-law principles. Unless a Service Order specifies otherwise and to the extent legally enforceable, disputes are subject to the state or federal courts with proper jurisdiction in Montgomery County, Texas. This provision does not prevent legally protected regulatory complaints or small-claims remedies where applicable.
21. SEVERABILITY, ASSIGNMENT AND ENTIRE AGREEMENT
If a clause is unenforceable, the remaining provisions continue to the extent legally permissible. A failure to enforce a clause is not a waiver. Neither party may assign an agreement in a way that materially prejudices the other without appropriate notice or permission, subject to lawful transfers and written agreements. The Service Order, these Terms, incorporated product terms and any applicable signed addenda constitute the agreement for the contracted Services. Headings are for convenience.
